1. The service

We operate a managed AI project platform for business clients. We conduct the initial assessment, scope each accepted project into a written Statement of Work with one platform price, match the project with one vetted independent AI engineer, and manage payments, milestone review, and delivery through handoff.

2. Client terms (summary placeholders)

• The client receives one project plan for approval; no work is billed before the client approves the plan.
• Milestone invoices are due before the corresponding work phase begins; the engineer is paid after the client accepts the milestone.
• Acceptance criteria in the Statement of Work govern milestone acceptance; scope changes require a written, client-approved change request.
• A 30-day defect warranty applies from final milestone acceptance, covering defects within the agreed scope.
• Deliverables, accounts, and project assets belong to the client per the Statement of Work.

3. Engineer terms (summary placeholders)

• Engineers are independent contractors, not employees.
• Engineers may not solicit or accept direct engagements from platform clients for 12 months after an engagement ("non-circumvention").
• Engineers may not disclose or discuss pricing with clients.
• Deliverables and IP transfer to the client upon milestone payment.

4. Payments

All payments flow through the platform's payment processor. Engineer payouts are released upon milestone approval.

5. Liability, disputes, governing law
